Terms of Service
Foxuma — Version 3, effective October 28, 2026.
Version 3 · Effective October 28, 2026. These Terms are a contract between your organization and Foxuma ("we", "us"). They sit alongside two companion documents: the Data Collection & Privacy Policy (what data we collect and why) and any written quote we give you for Estimator or Production setup (what that one-time work costs). If a signed quote and these Terms ever disagree about that quote's own work, the quote wins for that work; everything else here still stands.

How to read this document
In short: Foxuma is one work hub for your shop. You pay per person, monthly. Your data is yours, it stays in Canada, and our AI runs locally — nothing goes to a cloud AI. You can leave at any time, take your data with you, and the money-back guarantee in section 7 has your first payment covered. The rest of this page is those promises written out properly.
1. Who's who
In short: You are the Customer. Every signed-in person is a User and counts as one paid seat. Your business records are Customer Data, and they belong to you.
- Service — the Foxuma work platform: the Hub, the Estimator and Production modules, and the Fox assistant.
- Customer — the organization that subscribes.
- User — each individual the Customer authorizes. Every account is one User.
- Customer Data — the business data the Customer and its Users enter, submit, or upload.
- Operational Data — the technical data the software generates while running, described in the Privacy Policy.
- Aggregated Data — data pooled across customers and stripped of anything that could identify an organization or a person.
2. What you get
In short: The full platform for your own business use, updated as we ship improvements, with each change announced in the release notes.
We provide the Service for the Customer's internal business use. We improve it through updates; what changes is announced in the release notes shown in the product. Your subscription is not a bet on any particular future feature — it covers the Service as it exists and evolves during your term.
3. Saying yes — and what we record
In short: Using Foxuma means accepting these Terms. Ticking the box at sign-in is the acceptance, and we keep a record of who accepted which version, and when.
Accepting these Terms and the Privacy Policy is a condition of using the Service. Every acceptance is recorded — the User, the time, the document version, and the IP address. When a new version of these documents takes effect, existing Users accept it at their next sign-in before continuing. If you do not accept, you may not use the Service.
4. Accounts and seats
In short: One account per person, no sharing. You are responsible for what your people do under their accounts.
Every account counts as one User and one seat, billed under section 5. An account belongs to the individual it is assigned to and must not be shared. The Customer is responsible for its Users' conduct and for keeping credentials safe, and must tell us promptly if it believes an account has been used by someone else.
5. Price and payment
In short: $99/month covers your first user; each extra person is $19 (users 2–10) or $9 (after the tenth). No setup fee for the Hub. Ever. Taxes are extra.
- Hub: CAD $99/month including the first User; CAD $19/month for each User from the second to the tenth; CAD $9/month for each User after the tenth. All current features are included — there are no paid tiers of the Hub itself.
- Founding customers: the first five pay CAD $199/month flat for up to ten Users, locked for two years.
- Setup fees: the Hub has none. Estimator and Production setup is quoted per customer in writing, covering at least labour and travel, and is governed by that quote.
- Billing: monthly, in advance, by credit card (Visa, Mastercard, Amex); until card billing is in place, invoiced accounts are settled by the method shown on the invoice. Taxes are extra. If a payment fails, we will tell you and retry before suspending anything — see section 12.
6. Price changes
In short: Your price never changes mid-period. If a future price changes, we tell you at least 30 days ahead, and you can leave before it applies to you.
Prices for a period you have already paid for do not change. Outside a founding rate lock, we may change prices for future periods with at least 30 days' email notice; the new price applies from the first period that starts after the notice window, and cancelling before then is always an option under section 8.
7. Our money-back guarantee
In short: If Foxuma is not for you in the first 7 days, we refund your first payment in full. After that, cancel any time and we refund the part you have paid for but not used.
Your first week is covered in full. Tell us within 7 days of your first payment and we refund every dollar of Hub subscription fees you have paid — in full, to the original payment method, within 14 days of your request. This applies once per Customer, to the first subscription term only; Estimator and Production setup fees for work already performed are not covered.
After the first week, unused time is refunded. You may cancel at any time, for any reason, by email. When you cancel, we refund the unused part of whatever you have already paid for: unused days of a monthly period, or unused whole months of any pre-paid longer period, calculated from the day after cancellation takes effect. The refund goes to the original payment method within 30 days of your cancellation. Amounts for time already used, and setup fees for work already performed, are not refunded.
8. Cancelling
In short: Email us, and you're done — no retention call, no cancellation fee. Your access runs to the end of the period you've paid for, and sections 7 and 13 handle money and data from there.
The Customer may cancel at any time by email to the contact above. Cancellation takes effect at the end of the current paid period unless the Customer asks for it sooner. We may suspend or end access for a material breach of these Terms, or for non-payment that stays uncured 14 days after we notify the Customer. Whoever ends it, section 13 (your data) applies the same way.
9. Your data — yours, in Canada, AI on your machine
In short: Your data belongs to you. It is stored in Canada. The Fox assistant runs locally on the server that holds your data — none of it goes to a cloud AI service, and none of it trains anyone's models.
Customer Data belongs to the Customer. We process it only to run, secure, support, and improve the Service. Data stored by Foxuma is stored in Canada — on the server that runs your Foxuma instance. Services you choose to connect (for example your email or accounting software) move data under their own terms; the Privacy Policy lists the categories. The Customer grants us a licence to use Aggregated Data for product development, industry benchmarks, and service improvement; Aggregated Data cannot identify the Customer or any individual.
10. Privacy
In short: The Privacy Policy is part of this contract. It says what we collect, why, and how long we keep it.
The Data Collection & Privacy Policy forms part of these Terms. Our privacy contact is named at the top of this document.
11. Security — and what happens if something goes wrong
In short: We protect your data with safeguards matched to its sensitivity, and if a breach affects your data we tell you within 72 hours of finding out.
We apply safeguards appropriate to the sensitivity of the data, and we keep backups of the Service. If a security breach affects Customer Data, we will notify the Customer without undue delay and within 72 hours of becoming aware of it, with the information the Customer needs for its own obligations.
12. Keeping the service running
In short: We work to keep Foxuma up and backed up. We don't promise it will never be interrupted, and we won't cut you off over a payment problem without warning you first.
We aim for reliable, always-available service but do not guarantee uninterrupted operation. We may update the Service and these documents; a new version of the documents takes effect through the acceptance flow in section 3. For non-payment, we give notice and a 14-day cure window before any suspension.
13. When it ends — your data out, then deleted
In short: When you leave, you take a full export of your data — it is yours. We close the account and delete every copy of your data on our systems within 30 business days, and we confirm the deletion to you.
When a subscription ends, the Customer can export all of its data in usable formats, and any export the Customer has downloaded remains the Customer's to keep. We then close the account and delete every copy of Customer Data on our systems within 30 business days of closure, and we confirm the deletion to the Customer. The only exception is records the law requires us to retain — billing and payment records, tax records, consent and acceptance records, and legally required audit records — kept only as long as the law requires and used for nothing else.
14. Fair use
In short: Use Foxuma for your real business. Don't break its permissions, poke at other people's data, or try to take the software apart.
Users may use the Service only for the Customer's lawful business. No one may: bypass role permissions or security controls; access another person's data without authorization; upload unlawful or harmful content; interfere with the Service's operation; or reverse engineer the Service except where the law permits.
15. Who owns what
In short: The software is ours; your data is yours. Subscribing gives you the use of Foxuma — not ownership of it, and not a right to copy or resell it.
The Foxuma software, and the logic, design, and code behind it, are the property of Foxuma — or its licensors. The Customer acquires no rights in the software except the right to use the Service under these Terms. The Service may not be copied, resold, or sublicensed without written consent. Customer Data remains the Customer's, as set out in section 9.
16. Confidentiality
In short: Your business information is confidential to us, and ours to you. Neither side discloses the other's non-public information except to run the Service or as the law requires.
Each party keeps the other's non-public information confidential and uses it only to perform under these Terms. This duty does not cover information that is public without fault, already known, or required to be disclosed by law.
17. Support
In short: Support is included with an active subscription. You talk to people who build the product, and our target is a first response within one business day.
Support is included while a subscription is active, including a direct channel to the team that builds Foxuma, with a first-response target of one business day. Our aim is to support the product for its working life; that aim applies while the subscription is active and the Customer follows these Terms. Targets are goals we work to, not guaranteed service levels, unless a separate written agreement says otherwise.
18. Warranties
In short: Foxuma is provided as it is. We stand behind the specific promises written in this document — the guarantee in section 7, the data commitments in sections 9 and 13, the breach notice in section 11 — and make no other warranties the law allows us to leave out.
To the maximum extent permitted by law, except for the express commitments in these Terms, the Service is provided as-is, without warranties of any kind, express or implied.
19. Liability
In short: If we get something badly wrong, our total liability is capped at what you paid us in the previous 12 months. Neither side is liable for indirect or knock-on losses. Nothing here limits a liability the law says cannot be limited.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential losses, and our total liability arising from the Service is limited to the fees the Customer actually paid in the twelve months before the claim.
20. Ontario law, Ontario customers
In short: Ontario law governs. Foxuma is offered in Ontario; it is not offered or sold in Quebec.
These Terms are governed by the laws of Ontario and the federal laws of Canada that apply there. The Service is offered and sold in Ontario only at this time.
21. The fine print
In short: These Terms plus the Privacy Policy are the whole agreement. Notices go by email. If one clause falls, the rest stand. You can't hand this contract to someone else without our written OK.
These Terms and the Privacy Policy are the entire agreement between us about the Service. Notices under these Terms are sent by email and are effective when sent to the addresses each party has on record. If a section is held invalid, the rest stands. The Customer may not assign these Terms without our written consent.
